EXW Incoterms: Ex Works and the Obligations It Creates for Buyers

EXW, Ex Works, places the least obligation on the seller of any rule in Incoterms 2020. The seller makes the goods available at its own premises and does nothing else. Everything after that point belongs to the buyer.

What EXW actually requires

The seller packs the goods and places them at the buyer's disposal at a named place, usually a factory or warehouse. The seller does not load them onto the collecting vehicle. The seller does not clear them for export.

The buyer collects, loads, clears for export, arranges all carriage, clears for import and pays every cost from the seller's door onward.

Where risk passes

Risk passes when the goods are placed at the buyer's disposal at the named place, before loading. If the goods are damaged while being loaded onto the buyer's truck at the seller's own yard, that is the buyer's loss.

This surprises people. The seller's staff and the seller's forklift may be doing the loading as a courtesy, but under a strict reading of EXW the risk has already moved.

The export clearance problem

This is the reason we steer most clients away from EXW on international sales.

Under EXW the buyer is responsible for export formalities in the seller's country. In many jurisdictions a foreign buyer with no local registration simply cannot file an export declaration. What happens in practice is that the seller does it anyway, informally, with no contractual obligation and no protection if something goes wrong.

FCA fixes this cleanly. The seller clears for export, which it is placed to do, and the rest of the arrangement stays much the same. The cost to the seller is small and the ambiguity disappears.

When EXW does make sense

Domestic sales, where export clearance is not in play. Ex works pricing used as a costing baseline before freight is added. And situations where the buyer genuinely has a local presence and wants complete control of the logistics chain from the seller's door.

Common mistakes

Treating EXW as the default for quotations. It is a legitimate way to quote a bare product price, but converting that quote into contract terms without thought pushes obligations onto a buyer who may not be able to perform them.

Assuming the seller will load. Under EXW the seller has no loading obligation. If you want the seller to load, either say so in the contract or use FCA at the seller's premises, where loading is the seller's job.

Vague named places. Ex Works followed by a city is not enough. Name the exact address where collection happens.

Where this rule sits

EXW sits at one end of the scale, with DDP at the other. Between them, FCA is the rule that solves the export clearance problem while keeping most of the flexibility that makes EXW attractive.
